Brenda Hodges Binder assists with the formation, governance, conversion, and dissolution of for-profit and nonprofit entities. She collaborates with the charitable and public purpose organizations service team on drafting entity maintenance documents, filings, and closing documents and conducts due diligence. She serves as project manager for the closing of transactions involving mergers and acquisitions of various types of entities, and she submits notices of exempt offerings of securities under Regulation D of the U.S. Securities and Exchange Commission, including initial and annual state Blue Sky filings. Brenda takes a personal interest in her clients' needs and concerns. She works closely with them as an extension of their team to achieve their goals while remaining proactive in anticipating and avoiding future hurdles.
Prior to joining the firm, Brenda worked in the corporate department of another large Chattanooga firm focusing on startups, acquisitions, and securities matters. She also worked as a litigation paralegal with large firms in Atlanta and Birmingham, where she gained experience in trial preparation for complex contract and product liability litigation and assisted at trials in a number of state and federal jurisdictions.
