Doug Griswold Co-Authors Article for American Bar Association Health Law Section
Doug Griswold recently co-authored “Shifting Value Post-Transaction” for the American Bar Association Health Law Section. The article explores the growing trend of using rollover equity and earnouts in health care (and other M&A) transactions as a means to increase valuations while at the same sharing risk among buyer and seller parties. The article provides a number of real world examples as to how the application of these concepts can significantly shift the overall value of a transaction. As part of this discussion, the article highlights a number of key legal and economic factors for transaction parties to consider when adopting rollover and earnout strategies.
Doug focuses his practice on mergers and acquisitions and other business transactions, assisting clients in a variety of industries including health care, manufacturing, food service, technology and other commercial ventures. He also advises health care providers on physician employment and equity arrangements, professional service arrangements, corporate governance, and compliance/regulatory guidance.
